This website (the "Site") is operated by KernWerk Capital LLP, with a registered address at [registered address] ("KernWerk Capital", "we", "us" or "our"). By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Site.

We may revise these Terms from time to time, as set out in section 14. Your continued use of the Site after a change means you accept the revised Terms.

In these Terms:

• "Content" means all text, graphics, images, logos, data, page layouts and other material made available on the Site.
• "Site" means the KernWerk Capital website and all of its pages, including Home, Why India, Insights, Criteria, Team, Careers and Contact.
• "Submission" means any information you send to us through the Site, including through the contact form or a careers form.
• "you" means the person or entity accessing or using the Site.

You may use the Site only if you can form a binding contract with KernWerk Capital and are not barred from doing so under any applicable law. If you use the Site on behalf of an organization, you confirm that you are authorized to accept these Terms for that organization.

These disclaimers are the most important part of these Terms. They control how you may rely on anything you read on the Site. The firm's position is as follows.

We grant you a limited, non-exclusive, non-transferable and revocable license to access and use the Site for your own lawful, informational purposes. We reserve all rights not expressly granted.

You agree not to:

• use the Site for any unlawful purpose, or in breach of these Terms;
• copy, scrape, harvest, crawl or use automated means to extract data or Content from the Site, except as a search engine acting under our published instructions;
• attempt to gain unauthorized access to the Site, its servers or any connected system, or interfere with their normal operation;
• introduce any virus, malware or other harmful code, or take any action that imposes an unreasonable load on our infrastructure;
• reproduce, distribute, modify or create derivative works from the Content, except as section 6 allows; or
• remove or obscure any copyright, trademark or other proprietary notice.

We may suspend or end your access to the Site at any time, with or without notice, if we believe you have breached these Terms.

The Site and its Content are owned by KernWerk Capital or its licensors and are protected by intellectual-property and other laws. The KernWerk Capital name, logo and brand features are our property. Nothing in these Terms transfers any ownership to you.

You may view the Content and print or download a reasonable number of copies for your own internal, non-commercial reference, provided you keep all proprietary notices intact. Any other use needs our prior written consent.

When you send us a Submission through the Site, the following applies.

We treat the personal data in a Submission in line with our Privacy Policy. Apart from those commitments, a Submission does not create any duty of confidentiality between you and us, and you should not send us information you regard as confidential or proprietary.

Do not send us unsolicited ideas, proposals or business concepts. If you do, you agree that the Submission is non-confidential, that we are under no obligation regarding it, and that we may use it without restriction or compensation to you. This does not change how we handle personal data under the Privacy Policy.

You confirm that any Submission is accurate, is yours to share, and does not infringe the rights of others or break any law.

The Site may link to third-party websites or resources. We provide these links for convenience only. We do not control, endorse or take responsibility for third-party content, products or practices. Visiting a linked site is at your own risk, under that site's own terms and privacy policy.

The Site and the Content are provided "as is" and "as available", without warranty of any kind. To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that the Site will be uninterrupted, secure or error-free, that defects will be corrected, or that the Site or its servers are free of harmful components. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

To the fullest extent the law allows, KernWerk Capital and its affiliates, and their respective partners, members, directors, officers, employees and agents, will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, data, goodwill or business, arising out of or relating to your use of, or inability to use, the Site or the Content. This applies however the liability arises, whether in contract, tort or otherwise, and even if we have been advised that such damages were possible.

To the fullest extent the law allows, our total liability for all claims relating to the Site or these Terms will not exceed one hundred US dollars (USD 100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

You agree to indemnify and hold harmless KernWerk Capital and its affiliates, and their respective partners, members, directors, officers, employees and agents, from any claim, demand, loss, liability or expense, including reasonable legal fees, arising out of your use of the Site, your Submissions, or your breach of these Terms or of any law or third-party right.

Our Privacy Policy explains how we collect, use and protect personal data, including data you provide through the contact and careers forms, the email-based delivery of those forms by a third-party service provider, and our use of cookieless analytics. By using the Site, you acknowledge the practices described in the Privacy Policy.

We may change, suspend or discontinue any part of the Site at any time, with or without notice. We are not liable to you or any third party for doing so.

We may revise these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Material changes take effect when we post the revised Terms, unless we state otherwise. Please review these Terms periodically. Your continued use of the Site after a change means you accept the revised Terms.

These Terms, and any dispute arising out of or relating to them or to the Site, are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in New York, New York will have exclusive jurisdiction over any such dispute, and you consent to the personal jurisdiction of those courts and waive any objection to venue there.

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or removed to the minimum extent needed, and the remaining provisions will stay in full force.

These Terms, together with the Privacy Policy, are the entire agreement between you and KernWerk Capital regarding the Site, and they supersede any prior understanding on that subject. Our failure to enforce any provision is not a waiver of it.
